Terms and Conditions

These Terms and Conditions ("Agreement") govern your access to and use of the web-based application and related services provided by Stage Guide LLC ("we," "us," or "our") at relationships.stage.guide (the "Service"). Please read this Agreement carefully before using the Service.

By registering for or accessing the Service, you agree to be bound by this Agreement. If you are accepting on behalf of a law firm, company, or other organization, you represent that you have the authority to bind that entity, and "you" refers to that entity. If you do not agree to this Agreement, do not use the Service.

Definitions

"Subscriber" means the law firm, organization, or individual who purchases access to the Service and is responsible for the account.

"User" means any individual authorized by the Subscriber to access the Service under the Subscriber's account.

"Subscriber Data" means all information, content, and data entered into the Service by the Subscriber or its Users, including contact records, notes, relationship data, and any other materials submitted through the Service.

"AI Features" means any artificial intelligence or machine learning functionality made available within the Service, including but not limited to AI-generated suggestions, summaries, and relationship insights.

Account Registration and Eligibility

To use the Service, you must register for an account and provide accurate, complete information. You must be at least 18 years of age to use the Service. The Service is intended for use by legal professionals and business development personnel at law firms and legal organizations.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at relationships@stage.guide if you suspect any unauthorized access to or use of your account.

We reserve the right to suspend or terminate any account if we have reason to believe the registration information is inaccurate, the account is being used in violation of this Agreement, or continued access would violate applicable law.

Subscription and Fees

Access to the Service is provided on a subscription basis. Fees are charged in accordance with the plan selected at the time of registration. All fees are due in advance and are non-refundable except as described in the Refund Policy section below.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price changes to active Subscribers. Your continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

In certain jurisdictions, applicable sales or use taxes may be added to your subscription fees. You are responsible for any taxes assessed on your use of the Service.

Refund Policy

If you would like to request a refund, please contact us at relationships@stage.guide or (619) 665-8836 no later than 60 days from when the disputed charge was posted to your account. Refund requests submitted after 60 days will not be honored, and all charges after that period are considered final. When a refund is approved, it may take up to 7 business days to be returned to your account.

Use of the Service

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business development and relationship management purposes during the term of your subscription.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You agree not to:

Use the Service to store or transmit information in violation of any applicable law, regulation, or third-party rights.

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of the Service.

Access the Service to build a competing product or service, or to benchmark the Service against a competing product without our prior written consent.

Use the Service to transmit malicious code, viruses, or any other harmful or disruptive content.

Attempt to gain unauthorized access to any part of the Service or its related systems or networks.

Share, resell, sublicense, or otherwise make the Service available to any third party outside your organization without our express written permission.

AI Features — Important Notices

AI Sub-Processor. AI Features are powered by the Anthropic API. When you use AI Features, your inputs are transmitted to Anthropic, PBC for processing. Anthropic acts as a sub-processor on behalf of Stage Guide LLC. Pursuant to Anthropic's commercial terms, Anthropic does not train its models on data submitted through the API.

No Reliance on AI Outputs. AI-generated content — including suggestions, summaries, drafted communications, and relationship insights — is provided for informational and productivity purposes only. AI outputs may be inaccurate, incomplete, or not reflective of current information. You are solely responsible for reviewing, verifying, and deciding whether to act on any AI-generated output. Stage Guide LLC makes no warranty regarding the accuracy or reliability of AI outputs.

Not Legal Advice. Nothing produced by the AI Features constitutes legal advice. Attorneys remain solely responsible for all work product and professional judgments, including any content drafted or informed by AI Features.

Professional Responsibility. Users who are attorneys are responsible for ensuring their use of AI Features complies with all applicable rules of professional conduct, including obligations related to confidentiality (ABA Model Rule 1.6), competence (Model Rule 1.1), and supervision (Model Rules 5.1 and 5.3). Before inputting confidential client information into AI Features, attorneys should evaluate their obligations under applicable bar rules and consider whether client disclosure or consent is required.

Subscriber Data

Ownership. You retain all rights, title, and interest in and to your Subscriber Data. We do not claim any ownership of your Subscriber Data.

License to Us. By submitting Subscriber Data to the Service, you grant Stage Guide LLC a limited license to process, store, and use your Subscriber Data solely to provide and operate the Service on your behalf.

Responsibility for Data. You are solely responsible for the accuracy, quality, and legality of your Subscriber Data and for ensuring that you have all rights and permissions necessary to submit it to the Service. You represent that your Subscriber Data does not violate any applicable law or the rights of any third party.

Data Portability. Upon written request submitted prior to account cancellation, we will provide you with an export of your Subscriber Data in a standard format within a reasonable time. After account cancellation, we will delete your Subscriber Data within 90 days, except where retention is required by law.

Intellectual Property

The Service, including its software, design, features, and content (excluding Subscriber Data), is and remains the property of Stage Guide LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in this Agreement grants you any right or license to use our trademarks, logos, or branding without our prior written consent.

AI-generated outputs produced through your use of the Service belong to you, subject to any applicable terms from our AI sub-processors and applicable law.

Confidentiality

Each party may have access to confidential information of the other in connection with this Agreement. Each party agrees to protect the other's confidential information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Neither party will disclose the other's confidential information to any third party without prior written consent, except as required by law or as necessary to perform obligations under this Agreement.

Subscriber Data is considered your confidential information. We will not access, use, or disclose your Subscriber Data except as necessary to provide the Service, respond to support requests, comply with law, or as described in our Privacy Policy.

Warranties and Disclaimer

Each party represents and warrants that it has the authority to enter into this Agreement and that doing so does not violate any applicable law or third-party agreement.

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. Stage Guide LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Stage Guide LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL Stage Guide LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT EXCEED THE FEES PAID BY YOU TO Stage Guide LLC IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Stage Guide LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of this Agreement; (b) your Subscriber Data; (c) your violation of any applicable law or third-party rights; or (d) your failure to comply with applicable professional responsibility obligations.

Arbitration and Dispute Resolution

In the event of a dispute arising under or relating to this Agreement, the parties agree to first attempt to resolve the matter informally by contacting the other party in writing. If the dispute is not resolved within 30 days of written notice, either party may submit the dispute to binding arbitration.

ALL DISPUTES WILL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION. THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

Arbitration will be conducted by a single arbitrator pursuant to the Comprehensive Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. (JAMS), in San Diego County, California. Judgment on any arbitration award may be entered in any court of competent jurisdiction. Nothing in this section limits either party from seeking emergency equitable relief from a court where necessary to prevent irreparable harm.

Governing Law and Venue

This Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes not subject to arbitration under this Agreement shall be submitted exclusively to the state or federal courts located in San Diego County, California, and each party irrevocably consents to such jurisdiction and venue.

Term and Termination

This Agreement begins when you first access or register for the Service and continues until your subscription is cancelled or terminated.

Either party may terminate this Agreement at any time by providing written notice. You may cancel your subscription at any time through your account settings or by contacting us at relationships@stage.guide. Termination of your subscription does not entitle you to a refund except as provided in our Refund Policy.

We may suspend or terminate your access to the Service immediately if we reasonably believe you have violated this Agreement, if continued access would violate applicable law, or if you fail to pay fees when due.

Upon termination, your right to access the Service ends immediately. The following sections survive termination: Subscriber Data (data portability and deletion obligations), Intellectual Property, Confidentiality, Warranties and Disclaimer, Limitation of Liability, Indemnification, Arbitration and Dispute Resolution, and Governing Law and Venue.

Modifications to the Service and Agreement

We reserve the right to modify or discontinue any aspect of the Service at any time with or without notice. We will not be liable to you for any modification, suspension, or discontinuance of the Service.

We may update this Agreement from time to time. We will provide at least 30 days' notice of material changes by email or by posting a notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Agreement.

Force Majeure

Neither party will be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government action, or failures of third-party service providers including internet or cloud infrastructure providers.

General

Entire Agreement. This Agreement, together with our Privacy Policy and any order forms or subscription confirmations, constitutes the entire agreement between you and Stage Guide LLC regarding the Service and supersedes all prior agreements or understandings on the subject.

Severability. If any provision of this Agreement is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Waiver. Failure to enforce any provision of this Agreement will not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign or transfer this Agreement or any of your rights under it without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of our assets.

Notices. Notices to Stage Guide LLC should be sent to relationships@stage.guide. We will send notices to you at the email address on file for your account.

Policy Regarding Children

The Service is intended for use by legal professionals and is not directed to individuals under the age of 18. You must be at least 18 years of age to register for or use the Service.
